Silent Disco 4 Hire Limited (“SD4H”)
The person or organisation making the booking (“the Hirer”)
By placing a booking with SD4H, the Hirer confirms that they have read, understood and agree to these Terms & Conditions.
Nothing in these Terms affects a consumer’s statutory rights.
1.1 The Hirer is responsible for the hired equipment (“Equipment”) from the time it is delivered into the Hirer’s possession or control until it is handed to SD4H or SD4H’s authorised collection carrier.
1.2 The Hirer must take reasonable care of the Equipment and use it only for its intended purpose and in accordance with any instructions provided by SD4H.
1.3 The Hirer is responsible for any loss, theft or damage to the Equipment occurring during the hire period, except for:
fair wear and tear;
pre-existing damage or defects;
faults arising from normal and proper use; or
loss or damage caused by SD4H or its contractors before the Equipment is delivered into the Hirer’s possession or control.
1.4 Any loss, theft, damage or fault must be reported to SD4H as soon as reasonably possible.
1.5 Where Equipment is damaged but can reasonably and economically be repaired, SD4H may charge the Hirer the reasonable cost of repair.
1.6 Where Equipment is lost, stolen or damaged beyond economical repair, SD4H may charge the Hirer the reasonable cost of replacement, subject to the indicative replacement charges set out in Section 2.
1.7 SD4H may require reasonable evidence or information from the Hirer regarding any loss, theft or damage.
1.8 Amounts properly due for loss or damage must be paid within 10 days of notification unless the amount is genuinely disputed.
The following charges represent SD4H’s standard replacement costs and may be charged where the relevant Equipment is lost, stolen or damaged beyond economical repair:
Headphone — up to £50 each
Transmitter — up to £135 each
Lead, cable or charger — £15–£25 each, depending on the item
Equipment box — up to £40 each
Tape — up to £4
Information pack — up to £2
Padlock — up to £5
Phone connector — up to £16
Packaging or protective foam — £15–£65, depending on the item
iPod/MP3 player — up to £200 each
Smoke machine — up to £190 each
Moving head light — up to £95 each
Mini laser light — up to £65 each
Large laser light — up to £200 each
LED/uplighting unit — up to £65 each
UV light — up to £150 each
Where an item can reasonably be repaired for less than its replacement cost, SD4H will normally charge the reasonable repair cost instead.
A cleaning charge of £35 per hour may be applied where Equipment is returned in an excessively dirty condition requiring cleaning beyond that reasonably expected following normal use. This includes, but is not limited to, the removal of stickers, labels, tape, adhesive, residue, food, drink or other substances.
Where a delivery or collection fails because the Hirer is unavailable or has failed to follow the agreed delivery or collection instructions, SD4H may charge the reasonable additional courier and administration costs incurred, up to £85 per failed delivery or collection.
Prices and charges are subject to VAT where applicable.
3.1 Where permitted by the Hirer’s payment authorisation and applicable payment rules, SD4H may use the payment method provided for the booking to collect amounts properly due under these Terms, including charges for loss, damage, missing Equipment, cleaning or other agreed charges.
3.2 Before taking an additional charge for loss, damage or cleaning, SD4H will provide the Hirer with reasonable details of:
the missing or damaged Equipment;
the nature of the damage or cleaning required, where applicable; and
the amount proposed to be charged.
3.3 The Hirer will be given a reasonable opportunity to raise a genuine dispute regarding the proposed charge.
3.4 Payment information is handled in accordance with applicable data protection requirements and the terms of SD4H’s payment provider. SD4H will not retain payment information for longer than reasonably necessary or permitted.
3.5 Where an amount properly due under these Terms remains unpaid, SD4H reserves the right to charge reasonable interest and reasonable recovery costs to the extent permitted by law.
4.1 The Hirer must ensure that a responsible person is available to accept delivery at the agreed delivery address where this is required by the delivery service.
4.2 The Hirer is responsible for providing SD4H with a complete and accurate delivery address and any information reasonably required to complete the delivery.
4.3 The Hirer must notify SD4H promptly if the Equipment has not arrived within the expected delivery window.
4.4 The Hirer must not rearrange, redirect or otherwise alter a courier delivery without SD4H’s prior approval.
4.5 SD4H will not be responsible for additional costs or delays caused by:
an incorrect or incomplete address supplied by the Hirer;
nobody being available to accept a delivery where attendance is required;
an unauthorised change to the delivery arrangements; or
a failure by the Hirer to follow reasonable delivery instructions.
4.6 Where a delivery problem occurs for reasons within SD4H’s reasonable control, SD4H will take reasonable steps to resolve the issue.
5.1 The Hirer should check the Equipment as soon as reasonably possible following delivery.
5.2 Any missing, damaged or apparently defective Equipment should be reported to SD4H promptly so that SD4H has a reasonable opportunity to investigate and, where possible, provide assistance or replacement Equipment.
5.3 The Hirer must follow any setup, operating and troubleshooting instructions supplied by SD4H.
5.4 The Hirer must not dismantle, modify, repair or interfere with the Equipment without SD4H’s prior permission.
6.1 The Hirer must return all Equipment supplied as part of the booking, including headphones, transmitters, cables, chargers, adapters, accessories and packaging.
6.2 Equipment must be returned using the original packaging supplied by SD4H unless SD4H agrees otherwise.
6.3 The Hirer must:
pack the Equipment securely;
attach any return labels provided by SD4H;
secure boxes using the cable ties or other security materials supplied; and
follow SD4H’s reasonable return instructions.
6.4 The Hirer must not rearrange or alter an agreed courier collection without SD4H’s prior approval.
6.5 Where loss or damage occurs because the Hirer failed to pack or secure the Equipment reasonably and in accordance with the supplied instructions, the Hirer may be responsible for the resulting reasonable loss or damage.
6.6 SD4H recommends that the Hirer takes photographs of the packed Equipment and secured boxes before handing them to the collection carrier.
6.7 Responsibility for the Equipment passes back to SD4H when the Equipment has been handed to SD4H or SD4H’s authorised collection carrier, provided that the Hirer has complied with the reasonable packaging and return requirements in these Terms.
7.1 A booking is confirmed when SD4H accepts the booking and receives any required deposit.
7.2 A deposit of 25% of the total hire price is normally required to secure the booking.
7.3 The remaining balance must be paid by the payment deadline stated on the booking confirmation or invoice and, in all cases, before Equipment is dispatched unless SD4H has agreed otherwise in writing.
7.4 SD4H may withhold dispatch where the full amount due has not been received.
7.5 The Hirer is responsible for checking the booking confirmation and promptly notifying SD4H of any errors.
8.1 The Hirer may cancel a booking by notifying SD4H.
8.2 Because SD4H reserves Equipment and capacity for confirmed bookings and may incur administration, staffing, preparation and other costs, a reasonable cancellation charge may apply.
8.3 Subject to SD4H’s right to recover reasonable losses resulting from cancellation, SD4H’s standard cancellation policy is:
More than 28 days before the scheduled delivery date: 75% of payments above the deposit will normally be refunded.
14–28 days before the scheduled delivery date: 50% of payments above the deposit will normally be refunded.
7–14 days before the scheduled delivery date: 25% of payments above the deposit will normally be refunded.
Less than 7 days before the scheduled delivery date: payments will normally not be refundable.
8.4 The 25% booking deposit is intended to cover the costs and losses associated with reserving Equipment and processing the booking. SD4H will not retain an amount which it is not legally entitled to retain.
8.5 Where appropriate, SD4H will take reasonable steps to reduce losses resulting from a cancellation, including making cancelled Equipment available for other bookings where reasonably possible.
8.6 Any refund due will be processed within a reasonable period using the original payment method where reasonably possible.
8.7 Nothing in this Section affects any cancellation or refund rights the Hirer may have under applicable consumer law.
9.1 Requests to change the hire date must normally be made at least 28 days before the scheduled delivery date.
9.2 All date changes are subject to availability and are not confirmed until accepted by SD4H.
9.3 Where SD4H agrees to move a booking, SD4H may apply a reasonable administration charge and require payment of any additional costs arising from the change.
9.4 Where the price applicable to the replacement date or revised booking is higher, the Hirer must pay the difference before dispatch.
9.5 Where SD4H cannot accommodate the requested replacement date, the booking will be treated as a cancellation by the Hirer and Section 8 will apply.
10.1 Requests to increase the quantity of Equipment or add additional Equipment are subject to availability and additional charges.
10.2 Requests to reduce the quantity of Equipment or remove items from a confirmed booking should be made as early as possible.
10.3 Where a reduction is requested, any refund or credit will take account of the timing of the request and any reasonable costs or losses already incurred by SD4H as a result of the original booking.
10.4 SD4H is not required to provide a refund where it has already incurred the relevant costs or cannot reasonably reallocate the reserved Equipment, subject always to applicable consumer law.
11.1 In the unlikely event that SD4H is unable to fulfil a booking, SD4H will notify the Hirer as soon as reasonably possible.
11.2 Where SD4H cancels a booking for reasons that are not the Hirer’s responsibility, SD4H will refund amounts paid for the services or Equipment that SD4H is unable to provide.
11.3 Where appropriate and with the Hirer’s agreement, SD4H may instead offer an alternative date, alternative Equipment or another reasonable solution.
11.4 Nothing in this Section limits any rights or remedies available to the Hirer under applicable law.
12.1 The Hirer must take reasonable care to ensure that the Equipment is used safely, responsibly and appropriately.
12.2 The Hirer must comply with any safety, setup and operating instructions supplied by SD4H.
The Equipment must be kept dry at all times.
Unless SD4H has expressly confirmed in writing that a particular item is suitable for wet conditions, Equipment must not:
be exposed to rain or water;
be exposed to drinks or other liquids;
be submerged in any liquid;
be left outside where it may become wet;
be used in wet or excessively damp conditions; or
be stored in any location where it is reasonably likely to suffer water or liquid damage.
The Hirer must take reasonable precautions to protect Equipment from rain, spilled drinks and other liquids throughout the hire period.
Any water or liquid damage caused during the period for which the Hirer is responsible for the Equipment may result in reasonable repair or replacement charges in accordance with these Terms.
Stickers must not be applied to any Equipment.
The Hirer must not apply or permit anyone else to apply:
stickers;
labels;
adhesive tape;
glue;
decals;
adhesive decorations; or
any similar material
to headphones, transmitters, lighting, cases, boxes or any other Equipment supplied by SD4H, except for return labels or materials expressly supplied or authorised by SD4H.
Where stickers, adhesive or other materials have been applied without permission, the Hirer may be charged the reasonable cost of cleaning, removing residue, repairing damage or replacing the affected Equipment where necessary.
The Equipment must not:
be deliberately damaged;
be modified, dismantled or tampered with;
be painted, written on or permanently marked;
be exposed to excessive heat or other conditions likely to cause damage;
be used for a purpose for which it was not supplied; or
be sold, pledged or otherwise disposed of.
12.6 The Hirer is responsible for taking reasonable safety precautions appropriate to the venue, event and Equipment being used.
12.7 Where the Hirer is acting in the course of a business, the Hirer is responsible for carrying out any risk assessments or other health and safety procedures required by applicable law.
13.1 SD4H is responsible for losses suffered by a consumer where those losses are a foreseeable result of SD4H breaching these Terms or failing to use reasonable care and skill.
13.2 SD4H is not responsible for losses resulting from:
misuse of the Equipment;
failure to keep the Equipment dry;
exposure of the Equipment to water, drinks or other liquids;
failure to follow reasonable instructions supplied by SD4H;
unauthorised modification or repair of the Equipment; or
acts or omissions of the Hirer or another person using the Equipment for whom SD4H is not responsible.
13.3 Where the Hirer is acting wholly or mainly for business purposes, SD4H will not be liable for indirect or consequential losses, loss of profit, loss of business, loss of revenue, loss of anticipated savings or loss of business opportunity, except where such liability cannot lawfully be excluded.
13.4 Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
13.5 Nothing in these Terms excludes or restricts a consumer’s statutory rights.
14.1 SD4H will not be responsible for a failure or delay in performing its obligations where the failure or delay results from circumstances genuinely outside its reasonable control.
14.2 Such circumstances may include severe weather, major transport disruption, courier network disruption, fire, flood, power or communications failures, industrial action or other comparable events.
14.3 Where such an event occurs, SD4H will take reasonable steps to minimise the effect on the booking and will contact the Hirer where reasonably practicable.
14.4 Nothing in this Section removes any refund or other statutory rights that a consumer may have.
15.1 Unless expressly included in the booking, the Hirer is responsible for obtaining any licences, permissions, venue approvals or other authorisations required for the Hirer’s event.
15.2 SD4H is not responsible for restrictions imposed by a venue or other third party that prevent or restrict the Hirer’s use of the Equipment.
16.1 SD4H will process personal information in accordance with applicable data protection law and its Privacy Policy.
16.2 Personal information will only be used where there is a lawful basis for doing so, including administering bookings, taking payments, arranging delivery and collection, communicating with the Hirer and protecting SD4H’s legitimate interests.
17.1 If the Hirer has a complaint or believes that an amount has been charged incorrectly, the Hirer should contact SD4H as soon as reasonably possible.
17.2 SD4H will make reasonable efforts to investigate and resolve complaints promptly and fairly.
17.3 The parties are encouraged to attempt to resolve any dispute directly before commencing legal proceedings.
18.1 If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply.
18.2 A delay by SD4H in enforcing any right under these Terms does not mean that SD4H has waived that right.
18.3 These Terms, together with the booking confirmation and any documents expressly incorporated into them, form the agreement between SD4H and the Hirer relating to the hire.
18.4 Any variation to these Terms agreed specifically between SD4H and the Hirer should be confirmed in writing.
19.1 These Terms are governed by the laws of England and Wales.
19.2 If the Hirer is a consumer resident elsewhere in the United Kingdom, the Hirer retains any mandatory rights and protections available under the laws applicable to them.
19.3 A consumer may bring proceedings in any court in which they are entitled to bring proceedings under applicable law.
19.4 Where the Hirer is acting wholly or mainly for business purposes, the courts of England and Wales will have exclusive jurisdiction, unless otherwise agreed in writing.
